Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Infrabid platform (“Platform”), operated by Infrabid Solutions Pvt Ltd (“Infrabid,” “we,” “our,” or “us”). By accessing or using the Platform, you agree to be bound by these Terms, as well as our Privacy Policy which form an integral part of this agreement. If you do not agree to these Terms, we kindly request that you discontinue use of the Platform.

1. Definitions

• 'User' means any individual or legal entity using the Platform, including but not limited to contractors, subcontractors, equipment owners, service providers, and clients.
• 'Company' refers to Infrabid Solutions Pvt Ltd ('Infrabid,' 'we,' 'our,' or 'us').
• 'Platform' is the digital interface (web or mobile) operated by Infrabid through which Services are offered.
• 'Services' means all services provided by Infrabid via the Platform to Users, including but not limited to project posting, bidding, hiring of subcontractors, daily wage workers, or equipment.

2. Eligibility

You must be 18 years or older to use the Platform. Legal entities must be duly incorporated and registered under applicable laws.

By registering, you represent and warrant that:

• You are using the Platform in your individual capacity or on behalf of a legal entity.
• You have the authority to bind the entity you represent, if applicable.

3. User Account and Responsibilities

Users must provide accurate registration information and are responsible for keeping their account details up to date and login credentials confidential.

Users must use the Platform lawfully and ethically. The use of false identities, impersonation, incorrect details, multiple accounts for unfair gain, or violations of law or third-party rights is strictly prohibited and may result in account suspension, penalties, or legal action.

4. Use of Platform

Users agree to use the Platform only for lawful business purposes related to the construction ecosystem, including subcontracting, equipment rental, and labour hiring. Misuse of the Platform for unrelated or fraudulent purposes is prohibited.

5. User Content and Conduct

Users are responsible for the content they post or submit through the Platform. This includes project details, bids, profiles, and messages

Users must not:

• Post false, misleading, or unlawful content
• Infringe on intellectual property or privacy rights
• Harass, threaten, or abuse others
• Upload harmful code or spam
• Attempt to interfere with Platform functionality

Infrabid reserves the right to moderate, remove, or report any content that violates these Terms or applicable laws.

6. Contracts and Transactions

Infrabid operates solely as a technology platform enabling Users to discover, connect, and engage with one another for the purposes of subcontracting, equipment rental, and related services. Infrabid is not a party to any contract or transaction between Users, including but not limited to project listings, bids, proposals, negotiations, agreements, payments, or service execution.

All such arrangements are independently made and are the sole responsibility of the respective Users. Infrabid does not control or guarantee:

• The accuracy, reliability, or legality of any post, listing, or bid
• The quality, timeliness, or completion of work or service
• The conduct, capability, or payment behavior of any User
• The fulfilment or enforcement of any agreement between Users

Users acknowledge that Infrabid does not guarantee payment, project completion, or the performance of any User. Any disputes arising from agreements, payments, or service delivery between Users are solely the responsibility of the Users involved, and Infrabid shall not be held liable for any loss, damage, or claim resulting from such disputes.

Infrabid does not offer warranties, mediate disputes, or provide performance guarantees unless expressly agreed to by Infrabid in a separate signed written agreement.

7. Fees and Payments

Certain features or services may be subject to fees, commissions, or subscriptions. Infrabid will disclose applicable charges transparently. Users are responsible for timely payments. Failure to do so may lead to suspension or restriction of services.

All financial transactions must comply with applicable tax laws. Infrabid is not liable for tax or compliance obligations of individual Users.

8. Intellectual Property

All content, trademarks, logos, and software related to the Platform are the intellectual property of Infrabid. Unauthorized use, copying, or distribution is strictly prohibited.

Users retain rights to the content they submit but grant Infrabid a non-exclusive, royalty-free, worldwide license to use such content for Platform-related purposes.

Except for the license granted to Infrabid, Users shall not copy, reproduce, distribute, or otherwise use content submitted by other Users on any other public platform, website, or service without the prior written consent of the content owner.

9. Third-Party Services

The Platform may contain links to third-party websites or services. Infrabid is not responsible for the content, terms, or privacy practices of such external platforms.

Users who engage with third-party tools (e.g. payment gateways, verification partners) are subject to their respective terms.

10. Platform Availability and Changes

Infrabid strives to maintain uninterrupted access to the Platform but does not guarantee constant availability. We may update, suspend, or discontinue portions of the Platform for maintenance, improvements, or business reasons.

11. Termination

Infrabid may suspend or terminate access for Users who violate these Terms, abuse the Platform, or engage in illegal activity. Users may also choose to deactivate their account by contacting support.

Certain obligations, such as confidentiality, indemnity, and dispute resolution, will survive termination.

12. Disclaimer of Warranties

The Platform and Services are provided on an “as is” and “as available” basis, without any warranties of any kind, whether express or implied. This includes, without limitation, warranties of merchantability, fitness for a particular purpose, accuracy, availability, or non-infringement.

13. Limitation of Liability

Infrabid is not liable for any indirect, incidental, special, or consequential damages arising out of your use or inability to use the Platform. Total liability, if any, shall not exceed the amount paid by you to Infrabid in the previous 12 months.

14. Indemnity

Users agree to indemnify and hold harmless Infrabid, its officers, employees, and affiliates from any claims, liabilities, damages, fines, or expenses arising from:

• Their use of the Platform in violation of these Terms
• Any content they post, submit, or share on the Platform, including project details, bids, profiles, or messages
• Infringement of third-party intellectual property, privacy, or other rights
• Any disputes, losses, or legal claims resulting from contracts, transactions, payments, or services between Users
• Any unlawful, fraudulent, or negligent activity conducted through their account
• Any violation of applicable laws or regulations in connection with their use of the Platform

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana.

16. Modifications to Platform and Terms

Infrabid reserves the right to modify, suspend, or discontinue the Platform, Services, or any part thereof, including your access or registration, at any time, with or without notice, at its sole discretion.

Infrabid also reserves the right to update or revise these Terms at any time. Users are responsible for reviewing the Terms periodically. Continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
